Terms and Conditions

Effective as of January 30, 2026.

These Terms and Conditions apply to all quotations, purchase orders, and services provided by PreciKam, unless otherwise agreed in writing.

  1. This quote is valid for 30 days from quote date.
  2. Unless otherwise noted all prices are subject to an annual review.
  3. This is a budgetary quote and is subject to further review and adjustment based on engineering, tool and process finalization and optimization. Therefore, this quote is non-binding on Precimold Inc. until a final supply agreement is concluded.  Any purchase order(s) received by Precimold Inc. based on this budgetary quote will not be accepted by Precimold Inc.
  4. Design input and engineering work performed by Precimold Inc. remain the confidential property of Precimold Inc. and may not be transferred to another supplier without the written consent of PreciKam. The inclusion of these costs into the pricing are conditional upon Precimold Inc. being awarded the project.
  5. Customer provided samples generally may require modification in order to make them manufacturable. Acceptance of a sample by PreciKam is for the purpose of evaluation and quoting it does not constitute confirmation that a design or sample is fit for manufacturing.  All modifications will be discussed, confirmed and approved by the customer in writing prior to project launch.
  6. When a custom colour is required, the customer acknowledges and is fully aware that variations in tone, shade, colour, etc. can occur. PreciKam does not manufacture resin and is therefore not responsible for these variations.  PreciKam strongly recommends that customer use select resins that are precoloured by the original resin manufacturer.
  7. All Engineering phase fees must be paid in full at project start.
  8. Production and assembly prices are in Canadian dollars (CAD)/ US dollars (USD). Orders for quantities below the smallest release threshold indicated on this quote will not be accepted by Precimold Inc.
  9. Pricing is based on release quantities NOT ANNUAL VOLUME.
  10. The cost of resin and all other required input materials are included in this pricing, unless clearly indicated otherwise. Resin selection including suitability for purpose, resin compliance with quality and regulatory requirements and conformity with functional requirements remains the responsibility of the customer. Resin selection is subject to supplier/market availability and therefore can change at any time during the project life.   Resin selection indicated in the quotation cannot change without the customer’s expressed written instructions.
  11. Part price is based on resin and other input pricing in effect at the time of this budgetary quote. Changes in resin costing, in either direction, greater than 5% from the current agreed base price will require price adjustment either up or down equivalent to the cost increase.
  12. Unless otherwise agreed, any customer specific resin not consumed or with an issued and acknowledged purchase order from the customer for the number of parts required to consume the resin after 365 days may be invoiced to the customer at the price paid by Precimold Inc. with an additional 15% handling fee to be added. Once paid the customer may take possession of the resin FOB Precimold Inc.
  13. First off samples might be produced in an equivalent material available at the time of tool testing. Final samples in the correct material/colour will be produced for final approval and master sampling. Additional charges may be applied should quoted material and colour be required for first off testing.
  14. Pricing includes standard bulk packaging, unless indicated otherwise.
  15. This quote provides for one layout of critical dimensions of one sample per cavity.
  16. Should First Article Inspection resubmission be required due to customer needs, a resubmission fee and time frame will be agreed upon by both parties, in writing, and in advance of start of work.
  17. Written notification of receipt by the customer of non-conforming parts must be reported to Precimold Inc. within 30 days of receipt, otherwise all shipped parts or assemblies will be deemed as acceptable and in conformity with customer requirements. For clarity, no returns or invoice credits will be accepted for any issues reported or received after 30 days of product receipt.
  18. Unless indicated otherwise minimum production and purchase quantities will be 1000 pieces. This will be expressed as the lowest volume price bracket in the quotation.
  19. Order cancellations or reductions in production/release quantities below quoted minimums may be subject to administrative fees or price adjustments.
  20. Unless indicated otherwise prices DO NOT include secondary operations (for example: painting, printing or assembly.
  21. Mould repair and maintenance is the responsibility of the customer, unless otherwise indicated.
  22. Unless otherwise indicated this quote DOES NOT include any special fixtures, tools or gauges that may be required for production or testing.
  23. This quote is based on the customer requirements in place on or before the date of the quote. Any subsequent changes may require re-quotation.
  24. The quoted price and project scope are contingent upon the specifications and information provided at the time of the quote. Should there be any deviations, changes, or additions to the project scope or specifications after the quote or during production, the company reserves the right to adjust pricing and terms accordingly. Any such modifications will be communicated to the client and subject to mutual agreement before proceeding with the revised scope. Precimold does not guarantee that all deviations or changes can be accomplished or accommodated with tools and equipment finished to specifications in this quotation.
  25. All lead times indicated in this quote start from the receipt of the customer Purchase Order or down payment whichever comes last.
  26. The customer is responsible for providing Precimold Inc. with necessary final approved part print and design and all technical documents (e.g. quality manuals) in a timely manner. Unreasonable delays that impact project timelines will be the responsibility of the customer.
  27. This agreement will form part of the final supply agreement. In the event of any disagreement between the terms of this agreement and the final supply agreement the terms of the final supply agreement shall take precedence.
  28. Unless indicated otherwise, payment terms for parts and assemblies are net 30 days from invoice date. Precimold Inc. reserves the right to change terms based on credit worthiness or subject to our Account Receivable insurance terms.
  29. All documents and purchase orders are to be issued to Precimold Inc.
  30. All orders are subject to credit approval.
  31. All orders are ex works Precimold Inc.
  32. These terms and conditions cannot be modified unless expressly agreed upon in writing by both parties. Verbal, electronic and all other types of modifications to this agreement are null and void unless added to this agreement and signed by both parties.
  33. Errors and Omissions Excluded.

OPTIONAL CLAUSES TO BE DELETED/MODIFIED AS APPROPRIATE

  1. Tooling prices are in US dollars (USD) unless indicated otherwise. Tooling payment terms are 50% with purchase order (this is non-refundable), 40% with delivery of first off samples (non-controlled), 10% net 30 days after submission to Customer by Precimold Inc. of approval package. No work or raw materials will be ordered for a tool until the purchase order and deposit have both been received.
  2. Tooling cost includes standard transportation to Precimold Inc.’s facility. Expedited shipping will be at the customer’s expense. For greater clarity, standard transportation means that tools manufactured overseas will be transported by ship.
  3. Country of origin of the tool indicate will indicated what country the tool will be manufactured in. Any change in the country of manufacture for the tool will be approved by the customer in advance and prior to any change taking place.
  4. Should further engineering fees be required to assess this project they will be credited against the first production invoices unless otherwise indicated. These fees are to be paid in full at the start of the project.
  5. Part and process validation costs, if required, are NOT included in this quote and will be quoted separately.
  6. Sterilization costs are not included in this quote and will be quoted separately.
  7. Unless indicated otherwise, parts quoted with a family mould are quoted assuming ALL PARTS ARE PRODUCED SIMULTANEOUSLY with equal number of cycles for all parts. If parts cannot be run simultaneously the price will be adjusted to reflect single cavity production.
